Welcome to EntryFilter, a service provided by 821lab ("we", "us", or "the Controller"). These Terms of Service ("ToS" or "Agreement") govern access to and use of our platform, web application, and related services (the "Service").
By accessing or using the Service, you confirm that you have read, understood, and accepted these terms. If you do not accept these ToS in full, you are not authorized to use the Service.

1. License Grant and Use of the Service
We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use EntryFilter for professional and business purposes, in strict compliance with this Agreement.
All intellectual property rights related to the Service, including software, interface, trademarks, logos, and content, remain the exclusive property of 821lab.
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to extract source code.
- Use the Service for unlawful, fraudulent, or unauthorized purposes.
- Overload, damage, or compromise the technical integrity and security of the infrastructure.
In the event of abuse, spam, unlawful use, intrusion attempts, or infrastructure overload, 821lab reserves the right to limit, suspend, or deactivate the account, including as a precaution, with notice provided subsequently where urgent action is required.
821lab may suspend or terminate the account in case of violation of these Terms.

2. Warranty Disclaimer
The Service is provided strictly on an "as is" and "as available" basis, without warranties of any kind.
- Operational continuity: While we apply best technical efforts to maintain reliability and stability, we do not guarantee uninterrupted, timely, secure, or error-free service.
- Maintenance and failures: Access may be suspended or limited for maintenance, updates, or unforeseen technical issues.
- AI automatic transcription: Automatic transcriptions may contain errors or omissions; users must verify content before any operational or commercial use.
- Evolution of AI features: AI-based features may evolve, be replaced, or be discontinued over time without notice where necessary for technical, economic, or regulatory reasons.
- Compensation and refunds: Except for non-waivable rights under applicable law, no automatic compensation is provided for temporary disruptions. Any refund or compensatory measure may be evaluated case by case based on duration, severity, and nature of the disruption.

3. Limitation of Liability
To the fullest extent permitted by law, 821lab shall not be liable for indirect, incidental, special, consequential, or punitive damages.
This includes, by way of example:
- Loss of profits, revenue, business opportunities, or goodwill.
- Loss, corruption, or damage to data, notes, or voice recordings.
- Performance issues due to hardware, third-party networks, or user connectivity.
In any event, total liability of 821lab is limited to the total amount effectively paid by the user in the 12 months preceding the event that generated the claim.

4. Data Handling and User Responsibilities
EntryFilter provides tools for real-time data capture and organization, while operational control over entered content remains with the user.
- Professional diligence: Users are responsible for the accuracy of saved or transcribed information.
- Fiscal/commercial data: Users are solely responsible for accuracy of fiscal/commercial data entered (including VAT numbers, amounts, tax rates, descriptions, references, and document content).
- Backup: EntryFilter adopts reasonable reliability and protection measures, but does not replace a user-maintained backup solution. Users remain responsible for maintaining essential external backups. Even with reasonable backup and protection measures in place, recovery of deleted or lost data is not guaranteed.
- User-initiated deletion: If users delete data (notes, audio files, transcriptions, or whole accounts), such data is permanently deleted and not recoverable.
- Extraordinary recovery (extraordinary technical service): In exceptional cases and subject to technical feasibility, users may request a recovery attempt. This is an extraordinary, non-guaranteed technical activity and may be billed in full.
- Content ownership: Users represent that they hold all rights, authorizations, and legal bases necessary to upload, process, and store the content and data entered into the Service through EntryFilter.

5. Credential and Account Security
Users are responsible for safeguarding their access credentials and for all activity performed through their account.
Users agree to:
- Use strong passwords and avoid reuse on other services.
- Keep credentials confidential and not share them with unauthorized parties.
- Promptly report suspicious access, breaches, or unauthorized use.

6. Subscriptions, Payments, and Commercial Transparency
- Transactions: Payments and plans are managed securely via Stripe.
- No dark patterns: We reject deceptive subscription models, hidden costs, or artificial cancellation obstacles. Users can manage, change, or stop plans at any time, with immediate effect, via account settings.
- Downgrades and refunds: Downgrading to a lower plan is always allowed, but no refund or credit is provided for the unused portion of a previous higher-tier plan.
- Failed payment: A failed payment may result in suspension of the Service until the matter is resolved.

We may update these ToS at any time to reflect legal or technical developments. Changes are effective upon publication on this page. Continued use after publication constitutes acceptance of the updated Terms.

8. Governing Law and Jurisdiction
These ToS and related disputes are governed exclusively by the laws of the Italian Republic, excluding conflict-of-law rules that would refer to foreign laws/jurisdictions.
Any dispute concerning the interpretation, performance, or validity of this Agreement is subject to the jurisdiction of the Court of Florence, Italy for professional users, without prejudice to any non-waivable rights granted to consumers under applicable law.

9. Termination of the Service
821lab reserves the right to modify, suspend, or permanently discontinue the Service, or any of its features, for technical, economic, organizational, or regulatory reasons. Where reasonably possible, users will be given adequate advance notice.
- Data export: Users are responsible for exporting their data before termination of the contractual relationship.
- Force majeure: 821lab shall not be liable for delays or failures resulting from force majeure events (e.g., power outages, cloud provider failures, natural events, wars, large-scale cyberattacks, or government measures).
